Norconsult ASA: Closing of acquisition of the Aas-Jakobsen Group

Sandvika, 6 August 2025 (OSE: NORCO): Reference is made to the stock exchange announcement dated 12 June 2025 regarding Norconsult ASA’s ("Norconsult") agreement to acquire the Aas-Jakobsen Group, a leading Norwegian engineering consultancy specializing in complex infrastructure and building projects. The acquisition has been successfully completed today.

As previously announced, 20% of the purchase price has been settled through the issuance of new shares in Norconsult ("Consideration Shares") to the sellers. The issuance was resolved by Norconsult’s Board of Directors, pursuant to the authorisation granted by the Annual General Meeting held on 5 May 2025 (the “Authorisation”). A total of 7,051,587 Consideration Shares have been issued to the sellers at a subscription price of NOK 43.19, corresponding to the volume weighted average share price for the five trading days prior to closing.

Following the issuance of the Consideration Shares, Norconsult’s new share capital is NOK 6,350,969.24, divided into 317,548,462 shares, each with a nominal value of NOK 0.02, of which, 7,328,164 shares are held as treasury shares by Norconsult. The maximum share capital that may be issued under the Authorisation has been reduced accordingly, resulting in NOK 479,962.01 as the remaining share capital that may be issued pursuant to the Authorisation.
